Welcome to AERIDIAN.

These Terms of Service ("Terms", "Terms of Service" or "Agreement") govern your access to and use of the AERIDIAN website, online store, products, services and related features.

By accessing our website, creating an account, placing an order or purchasing a product from AERIDIAN, you acknowledge that you have read and understood these Terms and agree to be bound by them, subject to your rights under applicable law.

If you do not agree with these Terms, please do not use the website or place an order.

These Terms are intended to operate together with AERIDIAN's Privacy Policy, Return & Refund Policy, Shipping Policy and other applicable policies published on the website.

Nothing in these Terms is intended to exclude, restrict or waive any mandatory right or protection available to a consumer under applicable Indian law.

2. DEFINITIONS

For these Terms:

"AERIDIAN", "we", "us", "our" or "the Company" means RISHI ATULBHAI SUDANI, trading under the name AERIDIAN.

"Website" means the AERIDIAN online store and related webpages, including the website operated through Shopify.

"Customer", "you" or "your" means any person who accesses the Website, creates an account, purchases a product or otherwise interacts with AERIDIAN.

"Product" means any apparel, clothing, merchandise or other product offered for sale by AERIDIAN.

"Order" means a request submitted by a Customer to purchase one or more Products through the Website.

"Third-Party Service Provider" means a service provider used by AERIDIAN for services including payment processing, hosting, website operation, logistics, shipping, analytics, communication, fraud prevention or other business functions.

3. ELIGIBILITY

You may use the AERIDIAN Website only if you are legally capable of entering into a binding agreement under applicable law.

If you are below the age at which you can legally enter into contracts independently, you should use the Website and place orders only with the involvement and supervision of your parent or lawful guardian.

AERIDIAN does not knowingly seek to enter into prohibited transactions with persons who are legally incapable of entering into such transactions.

4. WEBSITE USE

You agree to use the Website only for lawful purposes.

You must not use the Website to:

  • violate any applicable law;
  • commit fraud;
  • impersonate another person;
  • provide false or misleading information;
  • interfere with Website security;
  • introduce malicious software;
  • attempt unauthorised access;
  • interfere with another user's account;
  • scrape or copy Website content through unauthorised means;
  • exploit Website vulnerabilities;
  • use automated systems in a manner that disrupts the Website;
  • engage in abusive or unlawful activity; or
  • otherwise misuse the Website.

AERIDIAN reserves the right to take reasonable action against unlawful or abusive use of the Website, subject to applicable law.

5. PRODUCT INFORMATION

AERIDIAN makes reasonable efforts to provide accurate information about Products, including:

  • product name;
  • description;
  • fabric or material information;
  • available colours;
  • available sizes;
  • fit;
  • measurements;
  • care instructions;
  • pricing;
  • images; and
  • other relevant information.

However, minor variations may occur between product images displayed on a screen and the physical Product.

This may be caused by:

  • screen settings;
  • display technology;
  • lighting conditions;
  • photography;
  • manufacturing processes;
  • fabric characteristics;
  • printing processes; or
  • reasonable product variations.

Such minor differences do not necessarily constitute a defect.

6. AI-ASSISTED AND DIGITALLY GENERATED PRODUCT IMAGERY

AERIDIAN may use AI-assisted, digitally generated, digitally enhanced or composited imagery in product presentations, promotional materials, advertisements, model representations and other marketing content.

Such imagery may be used to visually demonstrate:

  • product styling;
  • fit;
  • colour;
  • design placement;
  • apparel presentation;
  • lifestyle context; or
  • marketing concepts.

AI-generated or digitally enhanced imagery may not always represent the exact physical appearance of a Product under every lighting, camera or display condition.

Customers should rely on the written Product description, available size information, specifications and other product information in addition to images when making a purchase decision.

Where reasonably necessary, AERIDIAN may identify imagery as AI-generated, digitally created or digitally enhanced.

AERIDIAN does not intentionally represent an AI-generated person as a real customer, employee, model, brand ambassador or other identifiable real person unless expressly stated.

7. PRODUCT AVAILABILITY

All Products are subject to availability.

A Product displayed on the Website may become unavailable due to:

  • inventory changes;
  • stock shortages;
  • technical errors;
  • supplier or manufacturing issues;
  • quality-control issues; or
  • other circumstances beyond AERIDIAN's reasonable control.

Where an ordered Product becomes unavailable before fulfilment, AERIDIAN may contact the Customer and, where appropriate, offer:

  • an alternative Product;
  • replacement;
  • cancellation; or
  • refund of the applicable amount.

Customers will not be charged for an unavailable Product that AERIDIAN is unable to supply.

8. PRICES

Product prices are displayed on the Website.

Prices may include or exclude applicable taxes depending on how the price is displayed at the relevant stage of purchase.

The applicable amount payable by the Customer will be shown at checkout before the order is submitted.

AERIDIAN may change Product prices at any time.

A price change will not ordinarily affect an Order that has already been successfully accepted and paid for, except where correction of an obvious pricing or technical error is required.

9. TAXES

Applicable taxes, including Goods and Services Tax (GST), will be charged or reflected as required by applicable law.

Customers should review the applicable tax information displayed during checkout and on the relevant invoice.

10. ORDER PLACEMENT

To place an Order, you may be required to provide information including:

  • name;
  • mobile number;
  • email address;
  • billing address;
  • shipping address;
  • Product selection;
  • size;
  • colour;
  • quantity; and
  • payment information or payment authorisation.

You agree that information provided by you should be accurate and complete.

AERIDIAN is not responsible for delivery failures caused by incorrect, incomplete or outdated information supplied by the Customer, subject to applicable consumer rights and AERIDIAN's policies.

11. ORDER ACCEPTANCE

Submitting an Order constitutes a request to purchase the selected Product.

An automated order confirmation or acknowledgement may be sent after an Order is submitted.

Order acceptance and fulfilment remain subject to:

  • Product availability;
  • payment confirmation;
  • address verification where reasonably required;
  • fraud and security checks;
  • pricing accuracy; and
  • other legitimate operational requirements.

Where AERIDIAN cannot fulfil an Order, the Customer will be informed and any amount paid for the affected Order will be handled in accordance with the applicable refund and cancellation terms.

12. ELECTRONIC COMMUNICATION

When you use the Website, place an Order or communicate with AERIDIAN electronically, you consent to receiving electronic communications relating to your transactions and account.

These communications may include:

  • order confirmations;
  • invoices;
  • payment confirmations;
  • shipping notifications;
  • delivery updates;
  • return or refund communications;
  • account notifications; and
  • customer-service communications.

Electronic records may be used for transaction and communication purposes in accordance with applicable law.

Indian law recognises the validity of contracts formed through electronic means, subject to applicable legal requirements.

13. PAYMENT

Payment may be processed through payment gateways or other payment service providers made available at checkout.

Available payment methods may change from time to time.

AERIDIAN does not request or require Customers to disclose confidential payment authentication information such as:

  • OTPs;
  • UPI PINs;
  • card PINs;
  • CVVs;
  • banking passwords; or
  • payment passwords.

Customers should never share such information with anyone claiming to represent AERIDIAN.

14. PAYMENT FAILURE

If a payment fails, is declined, reversed or remains incomplete, AERIDIAN may not be able to process the Order until valid payment is received.

If money has been debited from the Customer's account despite a failed transaction, the Customer should first allow the payment provider's normal reversal process to complete.

If the amount is not appropriately reversed within a reasonable period, the Customer may contact AERIDIAN with the relevant transaction information.

15. SHIPPING AND DELIVERY

AERIDIAN will arrange shipment of accepted Orders according to the Shipping Policy applicable at the time of purchase.

Delivery times are estimates unless a specific delivery commitment has been expressly provided.

Delivery may be affected by:

  • courier delays;
  • weather;
  • natural disasters;
  • strikes;
  • public holidays;
  • incorrect addresses;
  • customer unavailability;
  • logistics disruptions;
  • regulatory restrictions; or
  • other circumstances beyond reasonable control.

16. RETURNS, REFUNDS AND CANCELLATIONS

Returns, refunds, exchanges and cancellations are governed by AERIDIAN's Return & Refund Policy.

The applicable policy may specify:

  • eligible Products;
  • return windows;
  • Product-condition requirements;
  • exclusions;
  • cancellation procedures;
  • refund procedures;
  • exchange conditions; and
  • other requirements.

Nothing in these Terms is intended to remove any mandatory consumer rights provided under applicable Indian law.

17. PRODUCT QUALITY AND DEFECTS

AERIDIAN aims to supply Products that conform to their description and applicable quality requirements.

If you receive a Product that appears to be:

  • defective;
  • damaged;
  • materially different from the Product ordered;
  • incorrectly sized due to fulfilment error;
  • incorrectly printed; or
  • otherwise not in conformity with the Order,

please contact AERIDIAN as soon as reasonably possible.

Customers may be asked to provide:

  • Order number;
  • photographs;
  • videos;
  • packaging information; and
  • a description of the issue.

AERIDIAN will assess the matter and provide an appropriate remedy in accordance with its policies and applicable law.

18. PRODUCT CARE

Customers should follow the care instructions provided with or for the Product.

For apparel, care instructions may include recommendations concerning:

  • washing;
  • drying;
  • ironing;
  • bleaching;
  • printing;
  • storage; and
  • other garment-care practices.

Damage resulting from failure to follow reasonable care instructions may not qualify as a manufacturing defect.

This does not limit rights available to consumers in respect of genuine manufacturing defects or non-conforming Products.

19. USER ACCOUNTS

Where customer accounts are available, you are responsible for:

  • maintaining accurate account information;
  • keeping account credentials confidential;
  • using your account lawfully; and
  • notifying AERIDIAN if you believe your account has been compromised.

You should not share your password or authentication credentials with another person.

AERIDIAN may take reasonable security measures where an account appears to have been compromised or misused.

20. INTELLECTUAL PROPERTY

Unless otherwise stated, the AERIDIAN Website and its contents are owned by or licensed to AERIDIAN.

This may include:

  • AERIDIAN name;
  • AERIDIAN logos;
  • trademarks;
  • product designs;
  • graphics;
  • photographs;
  • illustrations;
  • videos;
  • written content;
  • website design;
  • page layouts;
  • product descriptions;
  • marketing materials;
  • software;
  • original artwork; and
  • other content.

These materials may be protected by applicable intellectual-property laws.

You may view and use the Website for legitimate personal shopping purposes.

You must not reproduce, modify, distribute, publicly display, commercially exploit or create derivative works from AERIDIAN content without appropriate authorisation, except where permitted by law.

21. AERIDIAN BRAND AND TRADEMARK

The name AERIDIAN, its logos, branding elements, designs and associated brand assets may constitute intellectual property belonging to AERIDIAN or its licensors.

Unauthorised use of AERIDIAN branding in a manner likely to cause confusion, deception or false association is prohibited.

22. PRODUCT DESIGNS AND ORIGINAL ARTWORK

AERIDIAN may create, commission, purchase, license or otherwise lawfully obtain artwork, graphics, patterns, typography, illustrations and other creative assets used on Products.

Unless expressly stated otherwise, purchasing a Product does not transfer ownership of the underlying intellectual property to the Customer.

The Customer receives the right to use the purchased physical Product for ordinary personal purposes.

23. CUSTOMER-SUBMITTED CONTENT

If the Website allows Customers to submit content such as:

  • reviews;
  • photographs;
  • comments;
  • feedback;
  • testimonials; or
  • other materials,

you remain responsible for the content you submit.

You must not submit content that:

  • infringes another person's intellectual property;
  • violates privacy rights;
  • contains unlawful material;
  • is defamatory;
  • is fraudulent;
  • contains malicious software;
  • impersonates another person; or
  • otherwise violates applicable law.

24. PRODUCT REVIEWS

Where reviews are enabled, reviews should reflect the Customer's genuine experience.

AERIDIAN may moderate, remove or decline to publish content that:

  • is unlawful;
  • is abusive;
  • contains spam;
  • is unrelated to the Product;
  • contains personal information;
  • impersonates another person;
  • is fraudulent;
  • infringes intellectual-property rights; or
  • otherwise violates the Website's reasonable content standards.

AERIDIAN does not guarantee that every submitted review will be published.

25. PROHIBITED USE OF THE WEBSITE

You must not use the Website to:

  1. engage in unlawful activity;
  2. attempt to obtain unauthorised access;
  3. interfere with Website operation;
  4. distribute malware;
  5. conduct fraudulent transactions;
  6. impersonate AERIDIAN or another person;
  7. misuse another customer's information;
  8. copy substantial Website content without permission;
  9. use AERIDIAN content for unauthorised commercial purposes;
  10. circumvent security mechanisms;
  11. interfere with checkout or payment systems; or
  12. engage in any activity that violates applicable law.

  • logistics;

AERIDIAN is not responsible for independent services or content controlled by third parties, except to the extent responsibility cannot lawfully be excluded.

27. THIRD-PARTY LINKS

The Website may contain links to third-party websites.

Such links may be provided for convenience.

AERIDIAN does not control third-party websites and is not responsible for their:

  • content;
  • availability;
  • security;
  • privacy practices;
  • products; or
  • services.

Customers should review third-party terms and privacy policies before using those services.

28. WEBSITE AVAILABILITY

AERIDIAN seeks to keep the Website available and functioning properly.

However, uninterrupted access cannot be guaranteed.

The Website may temporarily become unavailable because of:

  • maintenance;
  • software updates;
  • technical failures;
  • server issues;
  • cybersecurity incidents;
  • telecommunications problems;
  • third-party service outages; or
  • circumstances beyond AERIDIAN's reasonable control.

AERIDIAN will take reasonable steps to restore affected services where practicable.

29. INFORMATION ACCURACY

AERIDIAN makes reasonable efforts to keep Website information accurate.

However, occasional errors may occur, including errors relating to:

  • prices;
  • descriptions;
  • stock availability;
  • specifications;
  • photographs;
  • promotions; or
  • other Website information.

Where an obvious material error is identified, AERIDIAN may take reasonable corrective action and inform affected Customers where appropriate.

Nothing in this clause limits statutory consumer rights.

30. PROMOTIONS AND DISCOUNTS

Promotional offers may be subject to additional terms.

A promotion may specify:

  • eligibility;
  • validity period;
  • minimum purchase;
  • applicable Products;
  • maximum discount;
  • redemption limits; or
  • other conditions.

Unless expressly stated otherwise, promotional offers cannot be combined.

AERIDIAN reserves the right to correct obvious promotional errors and to discontinue a promotion where reasonably necessary, subject to applicable law.

31. GIFTING AND RESALE

Products purchased from AERIDIAN may generally be gifted to another person.

However, unauthorised commercial resale, repackaging, misrepresentation or use of AERIDIAN branding to create an unauthorised association with AERIDIAN is prohibited.

32. FRAUD PREVENTION

AERIDIAN may use reasonable fraud-prevention and security checks.

An Order may be delayed, reviewed or cancelled where there are reasonable indications of:

  • payment fraud;
  • identity misuse;
  • suspicious transaction activity;
  • repeated abusive transactions;
  • misuse of promotional offers; or
  • other unlawful activity.

Any action will be taken subject to applicable law and legitimate consumer rights.

33. FORCE MAJEURE

AERIDIAN will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including:

  • natural disasters;
  • floods;
  • earthquakes;
  • fires;
  • severe weather;
  • epidemics or pandemics;
  • war;
  • terrorism;
  • civil unrest;
  • strikes;
  • governmental restrictions;
  • transportation disruptions;
  • telecommunications failures;
  • widespread technical failures;
  • cyber incidents affecting relevant service providers; or
  • other extraordinary circumstances beyond reasonable control.

Where such circumstances affect an Order, AERIDIAN will take reasonable steps to minimise the impact and communicate with affected Customers where appropriate.

34. LIMITATION OF LIABILITY

To the extent permitted by applicable law, AERIDIAN will not be responsible for losses that are:

  • indirect;
  • remote;
  • unforeseeable; or
  • not reasonably connected with the relevant transaction,

except where such limitation is prohibited by law.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including applicable statutory consumer protections.

Nothing in these Terms is intended to exclude liability arising from fraud, wilful misconduct or other circumstances where exclusion or limitation is prohibited by law.

35. CONSUMER RIGHTS

AERIDIAN respects consumer rights available under applicable Indian law.

These Terms do not remove or reduce statutory rights relating to matters such as:

  • product quality;
  • defective goods;
  • unfair trade practices;
  • misleading representations;
  • refunds where legally required;
  • consumer complaints;
  • product liability; or
  • other protections provided by applicable law.

The Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020 form part of the Indian consumer-protection framework applicable to e-commerce businesses.

36. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of India.

Mandatory consumer protections and other rights available under applicable law will continue to apply.

37. DISPUTE RESOLUTION

AERIDIAN encourages Customers to contact us first so that complaints and disputes can be resolved efficiently.

AERIDIAN will make reasonable efforts to investigate and resolve legitimate complaints.

Nothing in this section prevents a consumer from exercising any statutory right to approach an appropriate consumer forum, commission, authority or other legally available dispute-resolution mechanism.

The Consumer Protection Act framework provides consumer redressal mechanisms, including consumer commissions and online complaint filing mechanisms.

38. PRIVACY

Your use of the Website is also subject to AERIDIAN's Privacy Policy.

The Privacy Policy explains how AERIDIAN may collect, use, disclose, retain and protect personal information.

By using the Website, you acknowledge that you have had an opportunity to review the Privacy Policy.

39. MODIFICATIONS TO THESE TERMS

AERIDIAN may update these Terms from time to time because of:

  • changes in law;
  • regulatory requirements;
  • changes to the Website;
  • changes to Products;
  • changes to business operations;
  • changes to payment or delivery systems; or
  • other legitimate business reasons.

The updated version will be published on the Website.

The Last Updated date will indicate when the Terms were most recently revised.

For an existing Order, the terms applicable to the transaction will generally be determined by the terms presented at the relevant time, subject to applicable law.

40. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the extent necessary to make it lawful where legally possible.

If it cannot be made lawful, the affected provision will be severed to the minimum extent necessary.

The remaining provisions will continue to operate to the extent permitted by law.

41. NO WAIVER

Failure by AERIDIAN to enforce a provision of these Terms does not constitute a permanent waiver of that provision or of AERIDIAN's right to enforce it later.

42. ENTIRE AGREEMENT

These Terms, together with the policies expressly incorporated into them, constitute the terms governing your use of the AERIDIAN Website and purchase of Products, subject to applicable law.

Where there is a conflict between these Terms and a mandatory legal requirement, the mandatory legal requirement will prevail.

Where there is a conflict between these Terms and a specific transaction-specific policy or condition presented to the Customer at checkout, the applicable transaction-specific condition will apply to the extent permitted by law.
